Alzinova AB (publ) (“Alzinova” or the “Company”) has, as previously announced, completed the rights issue of units, consisting of shares and warrants of series TO5 and TO6, which was resolved by the Company’s Board of Directors on September 10, 2026 (the “Rights Issue”). In accordance with the underwriting agreement entered into in the Rights Issue, the Board of Directors has today, October 19, 2026, resolved, pursuant to the authorization granted by the Annual General Meeting held on May 26, 2026, to carry out a directed issue of 2,857,141 units corresponding to approximately SEK 3.6 million in total to Mangold Fondkommission AB (“the Underwriter”), which has partially chosen to receive underwriting compensation in the form of newly issued units (the "Compensation Issue"). Each unit consists of three (3) shares, four (4) warrants of series TO5 and three (3) warrants of series TO6. The subscription price in the Compensation Issue amounts to the same subscription price as in the Rights Issue, i.e. SEK 1.26 per unit, corresponding to SEK 0.42 per share, and payment in the Compensation Issue is made by set-off of the Underwriter’s claims regarding underwriting compensation.
NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, IN OR INTO THE UNITED STATES, AUSTRALIA, JAPAN, NEW ZEALAND, SOUTH AFRICA, SOUTH KOREA, CANADA, THE UNITED KINGDOM, HONG KONG, RUSSIA, BELARUS, SWITZERLAND, SINGAPORE OR ANY OTHER JURISDICTION WHERE SUCH RELEASE, PUBLICATION OR DISTRIBUTION WOULD BE UNLAWFUL OR WOULD REQUIRE REGISTRATION OR ANY OTHER MEASURES THAN SUCH MEASURES WHICH FOLLOWS FROM SWEDISH REGULATIONS. “We are very pleased that the majority of the guarantee fee is being paid in units rather than cash. We see this as a clear vote of confidence in Alzinova and the potential of our drug development. At the same time, this allows us to retain more capital in the company and focus our resources on advancing our development programmes,” says Tord Labuda, CEO of Alzinova. As previously communicated in connection with the Rights Issue, the Underwriter had, in accordance with the underwriting agreement entered into, the option to choose between receiving underwriting compensation in the form of cash corresponding to twelve (12) percent of the underwritten amount or in the form of newly issued units corresponding to fifteen (15) percent of the underwritten amount, or a combination thereof. In connection with this, the Board of Directors has, pursuant to the authorization granted by the Annual General Meeting on May 26, 2026, resolved on the Compensation Issue, corresponding to 8,571,423 shares, 11,428,564 warrants of series TO5 and 8,571,423 warrants of series TO6. The subscription price has been set at SEK 1.26 per unit, corresponding to SEK 0.42 per share, which corresponds to the subscription price in the Rights Issue. Payment in the Compensation Issue will be made by set-off of the Underwriter’s claim for underwriting compensation. The part of the Underwriter’s compensation that is not paid in the form of new units will instead be paid as cash consideration for the underwriting commitment, amounting to a total of SEK 1.92 million. The subscription price in the Compensation Issue was negotiated with the Underwriter on an arm’s length basis in connection with the entry into the underwriting agreement prior to the Board of Directors’ decision to carry out the Rights Issue and following an analysis of the market situation. Against this background, the Board of Directors’ assessment is that the subscription price, and the other terms and conditions of the Compensation Issue, are market-based. All shares in the Compensation Issue have been subscribed for by set-off and allotted. The reason for the deviation from the shareholders’ preferential rights in the Compensation Issue is to fulfill the Company’s contractual obligation towards the Underwriter. The Board believes that it is beneficial for the Company’s financial position to take advantage of the opportunity to pay the underwriting compensation in the form of units, consisting of shares and warrants, instead of a cash payment as it has a positive effect on the Company’s liquidity. Shares, share capital and dilution Following registration of the Rights Issue with the Swedish Companies Registration Office, the Compensation Issue entails that the number of shares in the Company will increase by an additional 8,571,423 shares, from 307,487,998 shares to 316,059,421 shares, and that the share capital will increase by an additional SEK 2,254,284.249, from SEK 80,869,343.474 to SEK 83,123,627.723, corresponding to a dilution effect of approximately 2.7 percent.
